Provider Agreement

1. Acceptance

By creating a professional account or using IleraLive as a doctor, clinic, or pharmacy ("Provider"), you agree to this Provider Agreement in addition to our Terms of Service and Privacy Policy. If you do not agree, do not activate or use a professional account.

2. Platform role

IleraLive is a technology platform that connects patients with licensed professionals and partner facilities. Unless applicable law requires otherwise, clinical decisions and the doctor-patient relationship remain between the Provider and the patient. TKH TECH Inc. operates the platform and is not the treating clinician.

3. Credentialing and license

• You represent that you hold valid licenses, registrations, and authorizations required for your role and jurisdiction, and that the information submitted in your application is accurate.
• You must keep license and registration details current in your profile and notify IleraLive promptly if your license is suspended, revoked, or expires.
• IleraLive may suspend or remove access if credentials cannot be verified, expire, or no longer meet platform standards.

4. Clinical and telemedicine standards

You agree to practise in line with applicable professional standards, including when to refer patients for in-person or emergency care. Telemedicine is not appropriate for life-threatening emergencies. You will maintain appropriate clinical records for care delivered through the platform and obtain patient consent where required for recording or data sharing.

5. Fees, revenue share, and payouts

Consultation and service fees visible to patients are set by the Provider or as configured on the platform. Unless a published promotion states otherwise, IleraLive retains a platform fee on paid visits (currently 30% of the listed consultation fee; the Provider receives 70%). Payment processor fees may apply separately. Payout timing and methods are described in the admin dashboard and may depend on verification status.

• Founding promotions may temporarily change the revenue split; the active rate is shown in your dashboard or communicated by IleraLive.
• Chargebacks, refunds under our cancellation policy, and fraud investigations may adjust amounts owed.
• You are responsible for taxes and social contributions on amounts you receive.

6. Data protection and health information

You will access patient health information only as needed to deliver care or fulfil pharmacy or clinic duties on the platform. You must safeguard login credentials, use the platform for PHI exchange where possible, and comply with applicable privacy and health-data laws. Access to patient records is logged for audit purposes.

7. Role-specific duties

Depending on your role on the platform, you also agree to the following:

• Doctors: Issue prescriptions and clinical documentation only when clinically appropriate and legally permitted. Maintain malpractice or professional liability coverage where required locally.
• Clinics: Ensure staff using the account are authorized representatives. You are responsible for bookings, scheduling accuracy, and coordination with clinicians at your facility.
• Pharmacies: Verify prescriptions before dispensing, confirm dispense accurately in the platform, and comply with national pharmacy regulations (including ABMed and ONPB requirements in Benin where applicable).

8. Suspension and termination

Either party may end the professional relationship by closing the account or written notice where required. IleraLive may suspend or terminate access for breach of this Agreement, patient safety concerns, fraud, or regulatory non-compliance. Pending appointments and payouts will be handled according to the Terms of Service and support policy.

9. Governing law

This Agreement is governed by the laws of the Republic of Benin, without prejudice to mandatory professional rules in your jurisdiction of practice.
